Entity Selection and Governance

I sit down with the principals to address their plans and goals to determine the best option for small business organization. I advise on the pros and cons of the different entities regarding individual liability, management, profit-sharing, taxation, transfer of ownership interests, and other considerations.

  • The limited liability company (LLC) is relatively new, with aspects of both a corporation and a partnership. Simple and flexible, the LLC is ideal for many start-ups. The principals are taxed individually, and losses can offset other income on personal income tax returns.
  • A corporation (S corp or traditional C corp) has limitations on who can be a stockholder, but is a better vehicle if the company will be seeking outside capital to finance operations and expansion.
  • A limited liability partnership (LLP) also has advantages, with the primary drawback being the difficulty of transferring ownership interest.

I help draft the specifics of operating agreements, shareholder agreements, and partnership agreements so that all parties are clear on their roles.
